- Definitions
- The data controller and operator of the website www.melior.lt (hereinafter referred to as the Data Controller) is MB “Melioras”, company code 306738835, VAT number LT100016871717, registered office address Žaros g. 2D-2, Garliava, LT-53269 Kaunas district, Republic of Lithuania, e-mail address – info@melior.lt.
- Buyer – a legally capable natural or legal person who has purchased Goods in the online store www.melior.lt
- Parties – Buyer and Seller together.

- Personal data – any information relating to a natural person – the data subject, whose identity is known or can be determined, directly or indirectly, by reference to an identification number or to one or more factors specific to that person’s physical, physiological, psychological, economic, cultural or social identity.
- Return form – a form of a prescribed sample, after filling in which the right to refuse the Goods can be exercised.
- Product – everything that is sold in the melior.lt online store: cosmetics and perfumery, accessories, home decoration products and gift vouchers. The terms “product”, “goods” used separately in the Rules mean both singular and plural.
- The Rules for the Purchase and Sale of Goods (hereinafter referred to as the Rules) regulate the rights and obligations of the Buyer and the Seller, prices of the Goods, payment procedure, terms, delivery, quality guarantee of the Goods, return and exchange of the Goods, and responsibilities.
- Privacy Policy – A document approved by the Seller, which provides the basic rules for the collection, storage, processing and storage of Personal Data when using melior.lt.
- General provisions
- These Rules for the Purchase and Sale of Goods, once approved by the Buyer (after familiarizing themselves with the Rules and checking the box next to the statement “I have read and agree to the terms and conditions of the page”), are a legal document binding on the parties, which establishes the rights and obligations of the Buyer and the Seller, the conditions for the purchase and payment for the Goods, the procedure for the delivery and return of the Goods, the liability of the parties and other provisions related to the purchase and sale of Goods in the online store.
- The Seller reserves the right to change, amend or supplement the Rules at any time, taking into account the requirements established by legal acts.
- By accepting these Rules, the Buyer confirms that he has the right to purchase goods in the melior.lt online store.
- We also inform you that these Rules may be amended in the event of changes in legal regulations. Each time the Buyer orders the Goods, we recommend that they review the Rules to ensure that they fully understand the terms and conditions under which the order will be placed in a particular case.
- The Buyer must familiarize himself with the Privacy Policy approved by the Seller. The Buyer expresses his consent or disagreement with specific methods of using the Buyer's Personal data in accordance with the procedure provided for in the Privacy Policy.
- If the Seller has the right or obligation to provide documents or information to the Buyer by email, in all cases the Buyer is responsible for providing the Seller with a valid email address belonging to the Buyer..
III. Privacy Policy
- MB “Melioras”, when carrying out e-commerce, is guided by the Law of the Republic of Lithuania on the Legal Protection of Personal Data, the General Data Protection Regulation (EU) 2016/679 and other legal acts establishing the processing, compliance and implementation of Personal data.
- The Privacy Policy is an integral part of the Rules.
- Products
- The images of the Goods presented in the Online Store are for illustrative purposes only. Despite the fact that the Seller has made every effort to display the colors of the Goods as accurately as possible, the Seller cannot guarantee that the screen of the Buyer's device will accurately reflect the colors of the Goods. The Buyer understands that the Goods may differ slightly from their images.
- The packaging of the goods may differ from that shown in the images in the online store.
- All Products presented in the online store are available to the Buyer. In the event that the ordered Product is no longer available, the Buyer is immediately informed about this by e-mail or other means (by call and/or SMS message) and the execution of the order for such Product is terminated.
- The Agreement between the Buyer and the Seller is considered concluded from the moment when the Buyer, having selected the Product(s) to be purchased and created the Shopping Cart, clicks on the “Order” link and when the Seller, having contacted the Buyer by phone or e-mail specified by him, confirms the order by sending an e-mail confirming the order.
- Buyer's rights
- The Buyer has the right to access his/her Personal Data and the right to demand correction of incorrect, incomplete, inaccurate Personal Data by writing an e-mail to info@melior.lt. In such a case, the Seller must immediately implement the Buyer's request (within 1-2 business days).
- The Buyer may exercise the right to withdraw from the purchase and sale agreement only if the Product has not been damaged or its appearance has not substantially changed, and it has not been used and remains in its original packaging.
- A Buyer who has purchased a Product of inadequate quality in an online store has the right to demand from the Seller that the appropriate quality of the product be ensured, the price of the product be reduced proportionately, or the purchase and sale agreement be unilaterally terminated.
- The seller is liable to the consumer for any non-compliance with the quality requirements of the goods at the time of delivery of the goods and which becomes apparent no later than two years after delivery of the goods.
- Obligations of the buyer
- The Buyer must pay for the Goods and accept them in accordance with the procedure established by these Rules.
- If the data provided in the Buyer's order form changes, he must immediately inform the Seller about them.
- When using the melior.lt online store, the Buyer undertakes to comply with these Rules, other conditions clearly specified in the online store, and not to violate the legal acts of the Republic of Lithuania.
VII. Seller's rights
- The Seller has the right to set a minimum Shopping Cart size at its discretion, i.e. the minimum amount upon reaching which the Buyer's order will be processed. The amount of this amount can be indicated when viewing the Shopping Cart.
- If the Buyer attempts to undermine the stability and security of the online store or violates his obligations, the Seller has the right to immediately and without warning restrict or suspend his access to the online store or, in exceptional cases, cancel the Buyer's registration.
- In the event of important circumstances, the Seller may temporarily or completely discontinue the operation of the online store without prior notice to the Buyer. In such a case, all accepted and confirmed Buyer orders shall be completed and new orders shall not be accepted.
- The Seller has the right to cancel the Buyer's order without prior notice if the Buyer, having chosen payment by bank transfer, does not pay for the Goods.
- The Seller may carry out various types of marketing campaigns and, with the prior consent of the Buyers, inform them about these campaigns by sending information to the contacts specified by the Buyers. The Seller also has the right to unilaterally change the terms of the marketing campaigns in question and terminate the campaigns that have already been launched at any time, without separate notice.
- The Seller undertakes to deliver the goods to the Buyer no later than 30 days from the date of conclusion of the contract. If the Seller is unable to fulfill the order on time and properly within 30 days for important reasons, he undertakes to immediately inform the Buyer about the delay in delivery of the goods.
VIII. Seller's obligations
- The Seller undertakes to provide the Buyer with the opportunity to use the online store under the conditions set out in these Rules and the online store. lt services provided.
- The Seller undertakes to respect the Buyer's right to privacy regarding personal information belonging to him, i.e. to process the Personal Data specified by the Buyer in accordance with the procedure established by the legal acts of the Republic of Lithuania.
- The Seller undertakes to deliver the Goods ordered by the Buyer to the address specified by him, under the specified conditions.
- If the Seller is unable to deliver the ordered Product to the Buyer due to important circumstances, he undertakes to offer an analogous Product or one that is as similar in characteristics as possible. If the Buyer refuses to accept the analogous Product or one that is as similar in characteristics as possible, the Seller undertakes to refund the money paid to the Buyer within 7-10 (seven-ten) business days, if an advance payment was made, and if the payment was not made, to cancel the order.
- When the Buyer returns the Goods, the Seller undertakes to refund the money paid by the Buyer within 7-10 (seven - ten) working days from the date of return of the Goods to the Seller.
- Product prices, payment procedures and terms
- The prices of goods in the online store and in the formed order are indicated in euros with VAT.
- The Buyer pays for the Goods in one of the following ways:
- Using electronic banking;
- When making a bank transfer;
- With a MELIOR gift voucher.
- When paying by bank transfer, the Buyer undertakes to pay for the Goods immediately. Only after payment will the order be formed.
- VAT invoices contain the selected Goods, their quantity, discounts granted, the final price of the Goods, including all taxes, and other data required by the legal acts regulating accounting.
- Delivery of goods
- When ordering the Goods, the Buyer may choose the method of delivery of the Goods, i.e. use the Goods delivery service provided by the Seller or the Seller's Goods collection point.
- Delivery of goods to the address specified by the Buyer:
- The Buyer, having selected the Goods delivery service during the order, undertakes to indicate the exact location of the Goods delivery.
- The Buyer undertakes to accept the Goods himself. In the event that he cannot accept the Goods himself, and the Goods are delivered to the specified address and based on other data provided by the Buyer, the Buyer has no right to make claims against the Seller regarding the delivery of the Goods to an inappropriate entity.
- The Goods are delivered by the Seller or its authorized representative.
- The delivery price depends on the delivery method chosen by the Buyer. The delivery or product price does not include customs, import or other possible applicable taxes in the recipient's country. The Seller is not responsible for these taxes.
- The Seller reserves the right to change the delivery fee for the Goods and the purchase amount above which delivery is free. The current prices are indicated in the order creation window so that the Buyer has the opportunity to familiarize himself with them before confirming the order.
- The ordered Goods must be collected no later than within 21 business days, calculated from the moment of receipt of the Seller's confirmation that the order is ready. If the Buyer fails to collect the Goods on time, the Seller reserves the right to terminate the order without notice and refund the payment made.
- The goods can only be collected by the person who placed the order or the person specified at the time of placing the order.
- The Seller delivers the Goods to the Buyer in accordance with the terms specified in the descriptions of the Goods. These terms are preliminary and do not apply in cases where the Seller does not have the necessary Goods in stock, and the Buyer is informed about the shortage of the Goods ordered by him. In all cases, the Seller undertakes to deliver the Goods no later than 30 days from the date of conclusion of the contract. In exceptional cases, the delivery of the Goods may be delayed due to unforeseen circumstances beyond the Seller's control. In such a case, the Seller undertakes to immediately contact the Buyer and agree on the terms of delivery of the Goods.
- The Seller is not liable for changes in the properties of the Goods that may occur due to temperature changes or other circumstances beyond the Seller's control when the Goods are delivered to the Buyer. The Seller is also not liable for damage caused during transportation.
- In cases where the consumer purchase and sale contract provides for the transportation of items and the Seller sends the items to the Buyer, the risk of accidental loss or damage to the items shall pass to the Buyer when he or a person designated by him, other than the carrier, accepts the items. If the items are transferred to the carrier chosen by the Buyer and the Seller did not offer such delivery, the risk provided for in this paragraph shall pass to the Buyer when the items are transferred to the carrier.
- In all cases, the Seller is exempt from liability for violation of the delivery deadlines for the Goods if the Goods are not delivered to the Buyer or are delivered late due to the fault of the Buyer or due to circumstances beyond the control of the Buyer.
- When delivering the Goods to the Buyer, the Buyer must, together with the Seller or his authorized representative, check the condition of the shipment and the Product(s) and sign the shipment transfer-acceptance document. After the Buyer signs the shipment transfer-acceptance document, it is considered that the shipment has been delivered in proper condition, there are no damages to the Goods, the cause of which is not attributable to a manufacturing defect, and there are no discrepancies in the configuration of the Product(s) (such as can be determined during an external inspection of the Goods). If the Buyer notices that the packaging of the delivered shipment is damaged (crumpled, wet or otherwise externally damaged), the Product(s) are damaged and/or the Product(s) are in improper configuration, the Buyer must note this in the shipment transfer-acceptance document.
XII. Return and exchange of goods
- MELIOR goods sold to the consumer under distance or off-premises consumer purchase and sale contracts are returned in accordance with the procedure established in Articles 6.228(10) and 6.228(11) of the Civil Code.
- To return a quality Product(s), the Buyer must notify the Seller in writing (e-mail) and fill out the Product Return Form, which can be found at melior.lt section "Product return form".
- The Buyer has the right to return the Goods, the commercial appearance and/or packaging of which is intact, within 14 days from the date of delivery or collection of the Goods, after informing the Seller in writing.
- The Seller has the right to refuse to accept Goods that have been unpacked after delivery and are unsuitable for return due to health or hygiene reasons, or the Goods cannot be returned in other cases established by the legal acts of the Republic of Lithuania. The Buyer must ensure that the quality, packaging and compliance with safety and hygiene requirements of the returned Goods do not change.
- The Seller has the right to refuse to accept the Goods returned or exchanged by the Buyer in the cases provided for in paragraph 58 of these Rules, as well as if it is determined that the Goods are damaged, the labels have been removed and/or damaged, the protective film has been torn off, the packaging has been damaged, etc. and/or the Goods have been used.
- If the right to return the Goods is exercised, the costs of returning the Goods shall be borne by the Buyer.
- The Seller is not liable for any deterioration in the quality of the Goods if the Buyer or the persons to whom the Buyer transferred the Goods used them for purposes other than those for which such Goods are usually used, failed to comply with the requirements specified in the instructions, violated the rules for transportation, storage, use and/or warehousing of the Goods, as well as if there are visible packaging and other external defects of the Goods that were not discussed in writing during the transfer of the Goods, or if the deterioration in the quality of the Goods is due to the actions of the Buyer or other persons to whom the Buyer transferred the Goods.
- Money for returned Goods is in all cases transferred by payment order and only to the payer's bank account.
XIII. Responsibility
- The Buyer is fully responsible for the accuracy of the Personal Data provided by him. If the Buyer does not provide accurate Personal Data, the Seller is not liable for the consequences arising therefrom and acquires the right to claim compensation for direct losses incurred by the Buyer.
- The buyer is responsible for the actions taken using this online store.
- The registered Buyer is responsible for the transfer of his/her login data to third parties. If a third party uses the services provided by MB "Melioras" by logging into the online store using the Buyer's login data, the Seller considers this person to be the Buyer.
- The Seller is exempted from any liability in cases where losses arise due to the Buyer not having read these Rules, despite having been given such an opportunity, regardless of the Seller's recommendations and his/her obligations.
- If the Seller's online store contains links to the websites of other companies, institutions, organizations or individuals, the Seller is not responsible for the information contained there or the activities carried out there, does not supervise or control those websites and does not represent those companies and individuals.
XIV. Exchange of information
- The Seller sends all notifications in accordance with the procedure provided in the Rules to the email address provided by the Buyer, i.e. info@melior.lt
- The Buyer sends all messages and questions via the means of communication specified in the Seller's online store.
- Term used in the rules "in writing" includes emails.
- Final Provisions
- These Rules have been drawn up in accordance with the legal acts of the Republic of Lithuania.
- The law of the Republic of Lithuania applies to relations arising on the basis of these Rules.
- All disagreements arising from the implementation of these Rules shall be resolved through negotiations. If an agreement cannot be reached, disputes shall be resolved in accordance with the procedure established by the laws of the Republic of Lithuania, according to the Seller's registered office.
- The Buyer does not have the right to assign or transfer all or part of the rights and obligations arising from these Rules to a third party or parties without the written consent of the Seller.
- In the event that the Buyer does not agree with the response prepared by the Seller and transmitted to MELIOR. LT to the Buyer's written claim, the Buyer (natural person, consumer) may submit his request/complaint regarding the Goods purchased from the Seller at MELIOR.LT to the State Consumer Rights Protection Service (Vilniaus g. 25, 01402 Vilnius, e-mail: tarnyba@vvtat.lt, tel. 85 262 67 51, fax: (85) 279 1466, on the website vvtat.lt (also for territorial divisions of the State Consumer Rights Protection Service in counties) – whether to fill out the application form on the EGS platform https://ec.europa.eu/odr/.
